1. Application of Terms and Conditions

1.1. The Supplier shall supply, and the Customer shall purchase, the Goods in accordance with any Quotation issued by the Supplier, which shall be subject to these Terms and Conditions.

1.2. These Terms and Conditions apply to the exclusion of any other terms which the Customer seeks to impose or incorporate, or which are implied by trade, custom, practice, or course of dealing.


2. Definitions

“Business Day” means any day other than a Saturday, Sunday, or UK bank holiday.

“Commencement Date” means the date the Contract comes into effect, as set out in the Quotation.

“Contract” means the agreement between the Supplier and the Customer for the supply of Goods in accordance with these Terms and Conditions.

“Customer” means the person or company purchasing Goods from the Supplier.

“Goods” means the products the Supplier agrees to supply, including:

  • Core Products – in-house manufactured safety products such as Shadow Boards, First Aid Stations, and Dispensers.

  • Special Order Products – goods sourced from third-party suppliers, including PPE, workwear, or other safety items not part of our standard catalogue.

    “Quotation” means the written statement of cost for the Goods issued by the Supplier.

    “Supplier” means Safety Outlet Ltd, a company registered in England and Wales, Company number 12188347.


3. Basis of Sale

3.1. All descriptions, images, and illustrations in the Supplier’s materials are for general guidance only and shall not form part of the Contract.

3.2. Any Quotation given by the Supplier is valid for 30 days unless otherwise stated.

3.3. The Supplier may make changes to the Goods to comply with applicable laws or to improve quality or performance.


4. Orders

4.1. Orders for Core Products can be placed directly via our website or in writing.

4.2. Orders for Special Order Products or bespoke items must be agreed in writing and may require full payment upfront for new customers.

4.3. Once accepted by the Supplier, orders cannot be cancelled without the Supplier’s written consent.


5. Prices & Payment

5.1. Prices are in GBP and exclude VAT unless stated otherwise.

5.2. Payment is due:

  • Website orders – at the time of purchase.

  • Bespoke orders (new customers) – full payment upfront.

  • Bespoke orders (approved account customers) – within 30 days of invoice.

    5.3. The Supplier may charge interest on overdue sums at 8% per annum above the Bank of England base rate.

    5.4. Title to Goods shall not pass to the Customer until payment in full has been received.


6. Delivery

6.1. Core Products are generally made to order. Estimated delivery dates will be confirmed at the time of order.

6.2. Delivery is complete when the Goods are delivered to the Customer’s address or collected by the Customer.

6.3. The Supplier shall not be liable for any delay caused by circumstances beyond its reasonable control.


7. Returns & Refunds

7.1. Core Products – may be returned within 14 days of delivery if unused, in original packaging, and not made-to-order or customised.

7.2. Made-to-order or customised products – non-returnable unless faulty or not as described.

7.3. Faulty goods must be reported within 7 days of delivery. The Supplier may repair, replace, or refund at its discretion.


8. Special Order Products (Including PPE & Workwear)

8.1. Special Order Products are supplied on a non-cancellable and non-returnable basis, except where goods are faulty or not as described.

8.2. For hygiene and safety reasons, PPE and workwear cannot be returned once delivered, unless faulty.

8.3. Short or over deliveries must be reported within 3 days of delivery.

8.4. Defects must be reported within 10 days of delivery.

8.5. Liability for Special Order Products is limited to repair, replacement, or refund, not exceeding the original purchase price.

8.6. It is the Customer’s responsibility to ensure that Special Order Products are suitable for the intended purpose.


9. Risk & Title

9.1. Risk passes to the Customer on delivery.

9.2. Title to Goods remains with the Supplier until full payment is received.

9.3. Until title passes, the Customer must store the Goods separately, keep them in good condition, and insure them against loss or damage.


10. Limitation of Liability

10.1. The Supplier’s total liability shall not exceed the price paid for the Goods in question.

10.2. The Supplier shall not be liable for any loss of profit, loss of business, or indirect or consequential loss.

10.3. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or other liabilities that cannot be excluded by law.


11. Confidentiality

Any non-public business or technical information disclosed between the parties shall be kept confidential unless required by law.


12. Force Majeure

The Supplier shall not be liable for delays or failure to perform caused by events beyond its reasonable control, including strikes, accidents, natural disasters, or supply chain disruption.


13. Governing Law & Jurisdiction

These Terms and any dispute or claim arising from them shall be governed by the law of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
